Standard terms for fixed-fee services
MGK Legal, a law practice in Melbourne, Victoria
1. Who these terms apply to
1.1 These terms apply to every fixed-fee service MGK Legal provides to a business that accepts our quote online.
1.2 MGK Legal acts only for the business named in the accepted quote. It does not act for the other party to the document, or for any related person, unless a separate written agreement says so.
2. The service
2.1 Each service has a fixed scope, set out in the accepted quote. Work outside that scope is not included.
2.2 We work from the documents and information you give us. You must tell us everything relevant to the document, including any agreed commercial points and anything you cannot accept.
2.3 All work is in writing, on your page and by email. We do not take calls or attend meetings as part of a fixed-fee service.
2.4 For a review, we prepare an email for you to send the other party in your own name. We do not contact or negotiate with the other party.
3. Work we do not take on
3.1 We do not take on any work that involves a dispute, a complaint or a threatened claim with the other party.
3.2 We do not take on any work connected with buying or selling a business, shares or property, raising money, or setting up or restructuring a company or trust.
3.3 We do not act where a conflict of interest exists, or where a party appears on the Australian sanctions list.
3.4 If any of these becomes apparent after we start, we will stop work and tell you. No fee is payable.
4. Fee and payment
4.1 The fee is fixed and stated in the accepted quote. MGK Legal is not registered for GST, so no GST is charged. Any addition for length or urgency is already in that fee. Nothing is added after you accept.
4.2 If you save a card on your page, we charge it when we release the documents to you. Otherwise, unless clause 4.3 applies, we invoice you when the work is ready, payable by bank transfer, and release the documents when the invoice is paid.
4.3 If your business has 20 or more staff, or annual turnover of $10 million or more, and you give us a purchase order, we release the documents on delivery and invoice you, payable within 14 days. Only one of these invoices may be unpaid at a time. While one is unpaid, other work is released under clause 4.2.
4.4 Nothing is payable before the work is ready. We do not hold money on your behalf.
5. Delivery date
5.1 The accepted quote states the date by which we will deliver.
5.2 If we cannot meet that date, we tell you before it passes and give you a new date.
5.3 If we need more information while we work, we send you one set of questions by email. The delivery date moves by the number of business days we wait for your answers, and we tell you the new date.
5.4 Business days exclude weekends and Victorian public holidays.
6. Revisions
6.1 One round of revisions within the original scope is included, if you ask for it on your page or by email within 10 business days of delivery.
6.2 A changed instruction, a new document or a response from the other party is new work. Review of the other party's response is offered as a separate fixed-fee service.
7. Ending the work
7.1 Either of us may end the work by written notice.
7.2 If we end it, or you end it before work starts, no fee is payable.
7.3 If you end it after work starts but before we deliver, no fee is payable either, and we stop work.
7.4 We may end the work if a conflict of interest, a sanctions match or work described in clause 3 comes to light, or if you do not give us the information we need within 10 business days of asking.
8. How we use artificial intelligence
8.1 We use artificial intelligence (AI) tools to prepare first drafts and reviews against our own written playbooks.
8.2 A lawyer of MGK Legal reviews every document and every piece of written advice, forms the legal judgement and approves it before it is sent to you.
8.3 The AI tools we use do not train on your documents under the terms on which we use them. Our AI use policy is published at /ai-policy.
9. Confidentiality
9.1 We keep your information confidential and use it only to provide the service, except where the law requires otherwise.
9.2 Our service providers process information for us under confidentiality terms. They are listed in our privacy policy.
10. Use of de-identified outcomes (optional)
10.1 With your separate written consent, we may use de-identified information from your review, such as which clauses were changed and how the negotiation ended, to improve our playbooks for other clients. Nothing that identifies you, the other party or the transaction is used.
10.2 This consent is optional. Declining it does not affect the service or the fee. You may withdraw it at any time by email.
11. Saved positions and reminders
11.1 If you ask, we keep a record of the positions you took on a review and apply them to your future reviews only after you confirm each one.
11.2 If you ask, we keep the key dates from a delivered contract and remind you before they arrive. A reminder is a courtesy, not advice, and you remain responsible for your own deadlines.
12. Your file
12.1 We keep your file for 7 years after the work ends, then destroy it securely unless you ask for it before then.
12.2 You may ask for a copy of the documents we delivered at any time during that period.
13. Your rights under the Australian Consumer Law
13.1 Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms excludes, restricts or modifies those rights.
14. Complaints
14.1 Our complaints process is published at /complaints. If we cannot resolve a complaint, you may contact the Victorian Legal Services Board + Commissioner, https://lsbc.vic.gov.au.
15. General
15.1 These terms are governed by the law of Victoria.
15.2 We may update these terms. A change applies only to engagements accepted after it is published.
15.3 Notices are given by email to the address you gave us.
